This publication provides an overview of the duties and responsibilities of boards in company groups across 45 jurisdictions. The introduction outlines the global landscape of company groups, their economic role and the principal challenges they present with respect to corporate governance polices. Part I develops a typology of legal and regulatory approaches that jurisdictions have taken to address these challenges. Part II highlights differences and commonalities across jurisdictions, especially as they relate to: how directors may take into account group interests; procedures for managing conflicts of interest; compensating losses incurred by a group company for the benefit of the group; transparency around group purposes and allocation of business opportunities; and allocation of responsibility for company policy and oversight between parent and subsidiary boards. Additional chapters offer case studies of recent and specific approaches to company group governance in Colombia, India, Israel and Korea.

This report highlights countries’ practices in implementing the OECD Council Recommendation on Policy Coherence for Sustainable Development (PCSD). It illustrates how governments can use institutional mechanisms for PCSD to address complex international problems together – including implementing the 2030 Agenda – and explores how policy coherence principles can be applied to promote whole-of-government approaches to policymaking. The report also applies a PCSD lens to the ocean – one of Earth’s largest global public commons and an obvious cross-border policy challenge. A growing number of countries are developing ocean economy strategies to connect sectoral policy silos, manage ocean resources and regulate ocean activities in a way that supports sustainable development that leaves no one behind.

As “market referees”, regulators contribute to the delivery of essential public utilities. The internal and external governance of regulatory agencies are essential to determining how regulators and the sectors they oversee perform. The OECD has developed an innovative framework that looks at the institutions, processes and practices that can enhance regulators’ performance. In this report, the framework is applied to the external governance of Mexico’s energy sector and its three regulatory bodies, the Agency for Safety, Energy and Environment (ASEA), the National Hydrocarbons Commissions (CNH) and the Energy Regulatory Commission (CRE), following a structural reform of the sector and its regulatory institutions. The review offers insights into the progress and challenges in the implementation of the reform, highlighting the importance of structured co-ordination and accountability mechanisms based on a common strategic agenda, alignment of processes for good regulatory outcomes as well as sufficient operational flexibility. The report is complemented by forthcoming reviews of the internal governance arrangements of the three regulatory agencies, constituting a comprehensive body of work on the regulatory governance of Mexico’s energy sector.

Regulators are proactive referees of the sectors they regulate, contributing to the delivery of essential public utilities for citizens. To fulfill this function, they need to be constantly alert, checking sectoral trends as well as assessing the impact of their decisions. However, while measuring regulators’ performance is essential, it is also challenging, from defininig what should be measured to attributing impacts to regulators' decisions. To address these challenges, the OECD has developed an innovative framework that looks at the institutions, processes and practices that help regulators assess their performance. The framework has been applied to Latvia's Public Utilities Commission, which is responsible for regulating energy, communications, water and waste. The review offers unique insights into the work of a multi-sector regulator, identifying the organisational features that allow lessons and experiences to be shared across sectors and contribute to good performance. It  highlights the importance of clarifying the role and functions of the regulator and its relationship with other public institutions, setting long-term strategic objectives for the regulator's activities, and having the right regulatory tools with appropriate incentives for the efficient and effective provision of public utility services.

It looks at the EPA’s role and objectives, its financial and human resources, processes for internal management and decision making, and systems for performance assessment. The review acknowledges the EPA’s achievements and good practices, analyses the key drivers of its performance, and identifies a number of challenges and opportunities for improvement to help the regulator prepare for the future.

Measuring regulators’ performance can strengthen the contribution of regulatory policies to sustainable growth and development. While measuring a regulator’s performance is a fundamental function of a “world class” regulator, it is challenging, starting with the definition of what should be measured and including the attribution of outcomes to regulators’ actions and the availability of robust and evidence-based evaluation methodologies. This review is the first application of an innovative methodology that helps regulators address these challenges and improve the way in which they assess their own performance. The mehtodology puts performance measurement in the wider context of governance arrangements of economic regulators. The review finds a close link between the independence of the regulator and performance. It also stresses the importance of focusing on regulatory tools and processes and measuring their quality to help improve performance. It highlights the need to define clear goals to develop output and outcome indicators that can be actionable and useful for the regulator. The review provides a roadmap for strengthening performance assessment by Colombia's communications regulator and is expected to help advance the better regulation agenda of other Colombian regulators and economic regulators of OECD members.

Trust in public institutions is a cornerstone of the Norwegian administrative and political model. It has also been a crucial element in Norway’s response to the COVID-19 pandemic. Preserving and strengthening this “trust capital” will be essential for Norway in addressing future trade-offs and challenges, such as ensuring the sustainability of the welfare model, coping with climate change and maintaining social cohesion. Based on the results of the OECD Survey on Drivers of Trust in Public Institutions and using a combination of quantitative and qualitative methods, this study examines the main determinants of trust in Norway’s national government, local government and public administration.

In New Zealand, the government’s response to the COVID-19 crisis is considered effective as it protected people’s lives with limited disruption to society and the economy. A key factor in achieving these results was a focus on collective goals, grounded in the high-trust relationship that exists between New Zealanders and their public institutions. Still, high levels of trust should not be taken for granted. As new challenges emerge and old ones reappear, people in New Zealand expect the government to build on the lessons from the pandemic to improve service delivery and the resilience of public institutions. This report provides recommendations for further strengthening trust, including making public services more responsive, integrating long-term thinking into policy making, countering the spread of mis- and disinformation and reinforcing New Zealand’s integrity system.

Public trust is a cornerstone of the Finnish administrative and political model, it has also been a key element of Finland's successful response to the COVID-19 pandemic. Preserving and strengthening the Finnish trust capital will be of essence for facing trade-offs and challenges ahead, particularly on the recovery phase following the pandemic. Through the combination of quantitative and qualitative methods this study examines the key determinants of trust in government, the local government and the public administration in Finland. Overall, it finds that responsiveness of public services and reliability of policies are key determinants of trust in institutions in Finland.

Brazil's public governance efforts have been seen as a model for other Latin American countries in areas such as civil service reform, open and digital government. However, in line with regional trends, trust in government and public institutions in Brazil has consistently declined in recent decades, hindering inclusive and sustainable growth, as well as social cohesion. The COVID-19 and other emerging crises have further exacerbated this trend and highlighted the need to strengthen the resilience of public institutions. Brazil is the first country in Latin America to undertake an OECD study on the main drivers of trust in public institutions, as part of a broader effort in building trustworthy relationships between the people and institutions. This report provides novel evidence on Brazilian people’s expectations and evaluation of government’s reliability, responsiveness, openness, integrity and fairness, based on the OECD Trust Survey. Based on this evidence, it identifies opportunities to further enhance trust, including improving the delivery and responsiveness of public services, enhancing foresight, planning, and preparedness to address long-term challenges, and promoting communication and engagement between the government and the people.
